This document is an electronic record published in accordance with the Information Technology Act, 2000 and its amended provisions, and Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules, regulations, privacy policy and terms of use for access or usage of this website ("Platform"). These Terms of Use ("Terms") govern your access to and use of the Platform and any services offered by Visionwave Technology ("Company", "we", "our", "us").
By accessing, browsing or otherwise using the Platform, or by engaging us for any service, you ("you", "user", "client") confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please discontinue use of the Platform.
1. Definitions
Platform means this website and any connected tools or forms. Services means the digital marketing, SEO, advertising, design, development and related services we provide. Deliverables means the reports, creative, code and other materials produced for you under an engagement. Agreement means the specific proposal, quotation or contract signed for an engagement, which is read together with these Terms.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Platform or engage our Services. If you are using the Platform on behalf of a business, you confirm that you are authorised to bind that business.
3. Use of the Platform
You agree to provide true, accurate and complete information when interacting with us, and are responsible for all activity conducted through your enquiries or account. You agree not to misuse the Platform, attempt unauthorised access, upload malicious code, scrape data at scale, or use it for any unlawful purpose.
4. Services and proposals
Plans, packages and prices shown on the Platform are indicative and are confirmed only through a formal proposal or quotation. Each engagement is governed by its own Agreement, which prevails over the website content in case of any conflict. The scope, timelines and deliverables are those set out in that Agreement.
5. Fees, payment and taxes
Fees are payable as per the Agreement. Unless stated otherwise, prices are exclusive of applicable taxes such as GST, which are charged additionally. Advertising spend on platforms such as Google or Meta is billed separately from our management fees and is payable by you. We reserve the right to pause work on overdue invoices after reasonable notice.
6. Client responsibilities
Timely delivery depends on your cooperation. You agree to provide the content, brand assets, access credentials, approvals and feedback we reasonably need, and to ensure that anything you supply does not infringe third-party rights. Delays caused by pending inputs or approvals are not our responsibility.
7. Intellectual property and deliverables
All content on this Platform, its design, layout, graphics, code and branding, is proprietary to Visionwave Technology and may not be reproduced without permission. Ownership of custom Deliverables transfers to you on full payment for the relevant engagement, except for our pre-existing tools, frameworks and know-how, and any third-party or licensed assets, which remain with their respective owners. We may reference completed work in our portfolio unless agreed otherwise in writing.
8. No guarantee of marketing results
Digital marketing outcomes depend on factors outside our control, including search-engine and platform algorithms, competition, your market and your own conversion process. We apply professional best practices and reasonable effort, but we do not guarantee specific rankings, traffic, leads, sales or return on investment, and no such guarantee should be inferred from any example, case study or projection.
9. Third-party platforms and links
Our Services often rely on third-party platforms (for example Google, Meta, hosting and analytics providers). Your use of those platforms is subject to their own terms, and we are not responsible for their availability, policy changes, account actions or pricing. The Platform may also link to external sites whose content and practices we do not control.
10. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement, except where disclosure is required by law.
11. Disclaimer of warranties
The Platform and any free tools are provided "as is" and "as available" without warranties of any kind, express or implied, including accuracy, completeness or fitness for a particular purpose. Your use of the Platform and its tools is at your own discretion and risk.
12. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of any engagement is limited to the fees paid by you to us for that engagement in the three months preceding the claim. We are not liable for indirect, incidental, special or consequential losses, including loss of profits, data or goodwill.
13. Indemnity
You agree to indemnify and hold us harmless against claims, losses or expenses arising from your breach of these Terms, your misuse of the Platform, or content or materials you provide to us.
14. Termination
Either party may terminate an engagement as set out in the Agreement. On termination, you agree to pay for all work performed and costs committed up to the termination date. We may suspend or restrict access to the Platform if we reasonably believe these Terms have been breached.
15. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, internet or platform outages, changes in law, or government action.
16. Governing law and jurisdiction
These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh, India.
17. Changes to these terms
We may update these Terms from time to time. The updated version takes effect when published on this page, and continued use of the Platform after that constitutes acceptance. Please review this page periodically.
